1. Acceptance of Terms

Welcome to Playdate! These Terms of Service ("Terms") constitute a legally binding agreement between you and Smoke Turner, LLC ("Playdate," "we," "us," or "our") governing your use of the Playdate service available at playdate.today (the "Service").

By creating an account, accessing, or using Playdate, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not use the Service.

2. Eligibility and Age Requirements

To use Playdate, you must:

• Be at least 18 years of age
• Be a parent or legal guardian of any children whose information you enter into the Service
• Have the legal authority to enter into these Terms
• Reside in the United States (required for SMS functionality)
• Provide accurate and complete information when creating your account

Children Under 13: Playdate is not intended for use by children. Only parents and legal guardians may create accounts and enter information about their children. We comply with the Children's Online Privacy Protection Act (COPPA) as described in our Privacy Policy.

Verification: We reserve the right to verify your eligibility and may suspend or terminate accounts that do not meet these requirements.

3. Description of Service

Playdate is a playdate coordination platform that helps parents manage their children's schedules and connect with other families to arrange playdates.

Key features include:

• Calendar management for children's activities and events
• External calendar subscriptions (import from school, sports, or other calendars)
• Automatic availability detection based on calendar gaps
• Connection with other families via invite codes
• Smart playdate suggestions sent via SMS
• Simple SMS-based confirmation system (reply 1 to confirm, 9 to skip)
• Automatic calendar event creation for confirmed playdates
• iCal feed export for external calendar apps
• Feedback submission with optional screenshots for bug reporting

Service Availability

We strive to provide reliable service but cannot guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or technical issues. We are not liable for any interruption of service.

Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify you of significant changes.

4. User Accounts and Security

Account Creation

When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Not share your account with others
• Notify us immediately of any unauthorized access or security breach

Account Responsibility

You are responsible for all activity that occurs under your account. If you believe your account has been compromised, change your password immediately and contact us at contact@playdate.today.

One Account Per Family

Each family should maintain one account. Creating multiple accounts to circumvent service limits, trial periods, or billing is prohibited and may result in account termination.

5. Subscription Terms and Billing

Free Trial

New accounts receive a 7-day free trial of the matching feature. During the trial, you have full access to all features. You will not be charged during the trial period.

Subscription Plans

After the trial period, continued access to the automatic playdate matching feature requires a paid subscription.

• Monthly Subscription: Billed monthly at the rate displayed during checkout
• Auto-Renewal: Subscriptions automatically renew unless cancelled
• Price Changes: We will notify you at least 30 days before any price increase

Note: Calendar features and family connections remain available without a subscription. Only automatic playdate matching requires a paid subscription after the trial.

Payment Processing

Payments are processed securely through Stripe. We do not store your complete credit card information. By subscribing, you authorize us to charge your payment method for the subscription fee and any applicable taxes.

Billing Cycle

• Subscriptions are billed in advance on a monthly basis
• Your billing date is the day you subscribed (or the closest available date in shorter months)
• You will receive a receipt via email after each successful payment
• Failed payments may result in service interruption after grace period

Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that date.

No refunds will be provided for partial billing periods. If you cancel, you will not be charged for subsequent periods.

Referral Credit System

We may offer referral credits that provide free access to matching features. Credits are applied automatically and cannot be combined with paid subscriptions. Credit terms may change at our discretion.

Taxes

Subscription fees may be subject to applicable sales tax, VAT, or other taxes based on your location. You are responsible for all applicable taxes.

6. SMS Communication Terms

SMS Consent

By providing your phone number and using Playdate, you consent to receive SMS text messages from us, including:

• Playdate suggestions and opportunities
• Playdate confirmations and updates
• Account verification messages
• Important service notifications

Message Frequency

Message frequency varies based on your settings and playdate activity. You can receive up to 2 playdate suggestions per child per day (configurable in settings). Confirmation and notification messages are sent as needed.

Message and Data Rates

Message and data rates may apply. Standard SMS rates from your mobile carrier will apply. We do not charge for SMS messages, but your carrier may. Contact your carrier for details about your text messaging plan.

Opt-Out and Help

• To Opt Out: Reply STOP to any message to stop receiving texts
• To Opt Back In: Reply START or JOIN to resume receiving texts
• For Help: Reply HELP or contact contact@playdate.today

SMS Replies

When you receive a playdate suggestion, you can reply:

• 1 - Confirm interest in the playdate
• 9 - Skip this suggestion

Other replies may not be recognized by our system. For general communication, please use email or the website.

Multi-Parent Notifications

If your family account has multiple parents with verified phone numbers, all parents will receive playdate suggestions. When one parent confirms or skips a suggestion, the other parents will be notified that it has been handled.

Supported Carriers

SMS service is available on major U.S. carriers. Functionality on prepaid or regional carriers may vary.

7. User Content and Conduct

Your Content

You retain ownership of all content you provide to Playdate, including:

• Profile information and children's information
• Calendar events and descriptions
• Location information
• Messages and communications

By providing content, you grant us a limited license to use, store, and display it solely for the purpose of providing the Service to you.

Content Standards

You agree that all content you provide will:

• Be accurate and truthful
• Not contain harmful, offensive, or illegal material
• Not violate any third party's rights (privacy, intellectual property, etc.)
• Not contain malicious code or spam

User Conduct

You agree to:

• Use the Service only for its intended purpose (coordinating playdates for your children)
• Treat other users with respect and courtesy
• Not harass, threaten, or harm other users
• Not impersonate others or create fake profiles
• Not attempt to access other users' accounts or data
• Supervise your children during playdates arranged through the Service

8. Prohibited Uses

You may not use Playdate to:

• Violate any local, state, national, or international law
• Collect or store personal information about other users without consent
• Send spam, advertising, or promotional materials
• Transmit viruses, malware, or malicious code
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to the Service or user accounts
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems (bots, scrapers) to access the Service
• Create accounts using false information or for fraudulent purposes
• Resell or commercially exploit the Service
• Use the Service for any purpose other than coordinating playdates

Violation of these prohibitions may result in immediate account termination and legal action.

9. Privacy Policy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information, including children's information.

The Privacy Policy is incorporated into these Terms by reference. By using Playdate, you agree to the terms of the Privacy Policy.

COPPA Compliance: We comply with the Children's Online Privacy Protection Act. See our Privacy Policy for details on how we handle children's information with parental control.

10. Intellectual Property

Our Rights

The Playdate service, including all content, features, functionality, design, code, and trademarks, is owned by Smoke Turner, LLC and is protected by copyright, trademark, and other intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

Restrictions

You may not:

• Copy, modify, or create derivative works of the Service
• Remove or alter any copyright notices or trademarks
• Use our trademarks or branding without written permission
• Frame or mirror any part of the Service

Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without obligation or compensation to you.

11. Disclaimers and Limitations of Liability

Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

No Guarantee

We do not guarantee that:

• The Service will be uninterrupted, timely, secure, or error-free
• Results obtained from the Service will be accurate or reliable
• Any errors or defects will be corrected
• Playdate suggestions will result in successful playdates
• Other users' information is accurate or complete

Parental Responsibility

YOU ARE RESPONSIBLE FOR:

• Supervising your children during playdates
• Verifying the identity and suitability of other families before arranging playdates
• Making decisions about your children's safety and wellbeing
• Complying with applicable laws regarding child supervision

Playdate is a coordination tool only. We do not vet users, supervise playdates, or guarantee the safety or suitability of other families.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMOKE TURNER, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of your account or data
• Any conduct or content of other users
• Any content obtained from the Service
• Interruption or cessation of the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Smoke Turner, LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Any content you provide to the Service
• Any conduct during playdates arranged through the Service

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

13. Dispute Resolution and Governing Law

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut and the United States, without regard to conflict of law principles.

Jurisdiction

You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the federal or state courts located in Fairfield County, Connecticut. You consent to the personal jurisdiction and venue of such courts.

Informal Resolution

Before filing a claim, you agree to contact us at contact@playdate.today and attempt to resolve the dispute informally. We'll work in good faith to resolve any issues.

Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

14. Termination

Termination by You

You may terminate your account at any time by contacting us at contact@playdate.today. Upon termination, your access will end, and your data will be deleted in accordance with our Privacy Policy.

Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

• You violate these Terms
• Your use of the Service poses a risk to other users or the Service
• You engage in fraudulent or illegal activity
• We are required to do so by law
• We discontinue the Service

Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• You remain liable for any outstanding fees
• No refunds will be provided for unused subscription time
• Sections of these Terms that by their nature should survive (liability limitations, indemnification, dispute resolution) remain in effect

15. Changes to Terms

We may update these Terms from time to time to reflect changes in our practices, legal requirements, or Service features.

Material Changes: We will notify you of material changes by:

• Posting the updated Terms with a new "Last Updated" date
• Sending an email to your registered email address
• Displaying a notice when you log into your account

Your continued use of Playdate after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account.
